Terms of Service

Thank you for choosing Speak Slow! Our Company provides website features and other products and services to you when you visit our website, use products or services, use applications for mobile, or use software provided by our company in connection with any of the foregoing (collectively,  the “Services”).

Our Company provides the Services subject to the following condition. Please read them carefully

This Terms of Service are Legally Binding

By signing up, installing or otherwise using the Services, You (the User) are entering into a legally binding with this Terms of Service and us. As part of this Terms of Service, you agree to comply with the most recent version of this agreement. If you access or use the Services, or continue accessing or using the Services after being notified of a change to the Terms of Service, you confirm that you have read, understand and agree to be bound by the Terms of Service. “We”, “Company”, “our” and “us” currently refers to Speak Slow, LLC.

To help ensure a safe and efficient service, all Authorized Users must comply with our Terms of Service and remain vigilant in reporting inappropriate behavior or content to Customer and us.

You Must be Over the Age of 18

The Services are not intended for and should not be used by anyone under the age of eighteen. You represent that you are over the age of 18. You may not access or use the Services for any purpose if either of the representations in the preceding sentence is not true.

Use and Scope of the Services

Subject to the terms of this Terms of Service We grant you a revocable, limited, non-exclusive, and nontransferable license to download, install, and use the Services for your personal use on one or more Devices owned or otherwise controlled by you strictly in accordance with this Terms of Service and Speak Slow Documentation.

If you choose to use the Services as an Contractor (as defined below), your relationship with the Company is limited to being an independent, third-party contractor, and not an employee, agent, joint venturer or partner of the Company for any reason, and you act exclusively on your own behalf and for your own benefit, and not on behalf, or for the benefit, of the Company.

Users who offer services through the Services are “Contractors” and the services they offer are “Language Services”. Contractors offer such Language Services through our Services to communicate and transact directly with users that are seeking for help to overcome language barriers (Users using Language Services are “Customers”).

We are not responsible for the use of any personal information that you disclose to other Users or Contractors through the Services and we strongly recommend not sharing sensitive information through the Services. Please carefully select the type of information that you post or share through the Services or release to others. We disclaim all liability, regardless of the form of action, for the acts or omissions of other Users (including unauthorized users, or “hackers”).

Restricted Activities

You agree not to, and you shall not permit others to:

(a) Create derivative works, improvements or modification, whether or not patentable, of the Service.

(b) Decompile or otherwise attempt to get access to the source code of the Services or any part thereof.

(c) Remove, modify, or obscure any trademarks or any copyright, or other intellectual property or proprietary rights notices from the Services.

(d) Lend, rent, sell, lease or sublicense the Services to any third party.

(e) Use the Services in any way that violates any applicable federal, state, local or international law or regulation (including, without limitation, any laws regarding the export of data or software to and from the US or other countries).

(f) Use any software that interferes or attempts to interfere with the proper working of  the Services or the Company.

(g) Use the Services with a device that you do not own.

 (h) Permit any third party that is not an Authorized User to access or use a username or password for the Services.

(i) Share, transfer or otherwise provide access to an account designated for you to another person or third party.

(j) Engage on the use of the Services in any juridical context;

(k) Engage on the use the Services in any healthcare context;

(l) Post Information or interact with the Services in a manner which is abusive, obscene, profane, sexually oriented, offensive, threatening, harassing, or illegal;

Terms Specifics for Contractors:

a.       Contractors will be responsible for paying all applicable federal, state and local taxes based on your provision of the Services and any payments received by you.

b.      You represent that you will not post Information or interact with the Services in a manner which is false, intentionally misleading (directly or by omission or failure to update information), libelous, defamatory, abusive, obscene, profane, sexually oriented, offensive, threatening, harassing, or illegal.

c.       Contractors shall protect the confidentiality of the conversations with the customers.

d.      Contractors shall limit themselves to interpreting, transliterating or translating and shall not give legal or medical advice.

e.       Contractors will strive to offer a complete and accurate interpretation or sight translation, without altering, omitting, or adding anything to what is stated or written, and without embellishment.

f.       Contractors shall assess at all times their ability to deliver their services. When contractors have any reservation about their ability to satisfy an assignment competently, they shall immediately convey it to the Company, by contacting us and requesting the termination of the Interpreter role assigned to their account.

g.      The contractor must maintain the boundaries of the professional role, refraining from personal involvement and treating all parties with respect.

Services Fees

The Company may charge fees to Contractors and/or Customers) (collectively, "Service Fees") in consideration for the use of the Services.

 Any applicable Service Fees will be included in the fee displayed to the Customer prior and/or during the start of the connection of the call to the Contractor.

The Company reserves the right to change the Service Fees at any time, and will provide the users adequate notice of any fee changes before they become effective.

 You are responsible for paying any Service Fees that you owe to the Company. The applicable Service Fees are due and payable and collected by the Company. Except as otherwise provided on the Services, Service Fees are non-refundable.

No warranty

The Company gives no contractual guarantee in relation to the Services. The Services are provided to the You “as is” and with all defects and faults without warranty of any kind.

Termination of Service

Speak Slow LLC may, in its sole and absolute discretion, at any time and for any or no reason suspend or terminate with or without previous notice the rights afforded to You of using our Services. Furthermore, if you fail to comply with any of our terms and conditions, the rights of using our Services shall terminate automatically. You must cease all use of the Services and delete all copies of the Services from your Devices. Upon termination of the Services, all right assigned to you through this Agreement will also terminate.

Please contact us if you at any time or for any reason wish to terminate your account, including due to a disagreement with any updates to this Terms of Service and please uninstall the Services or any Software related to the Services and all copies from all your Devices.

Termination will not limit our rights or remedies at law or in equity.

Limitation of Liability

If we believe that there is a violation of the Terms of Service, or any of our other policies; we may directly step in and take what we determine to be appropriate action (including disabling your account) if we believe there is a credible risk of harm to us, the Services, Authorized Users, or any third parties.

In no event will we have any liability for any lost profits or revenues or for any indirect, special, incidental, consequential or punitive damages however caused, whether in contract, tort or under any other theory of liability, and whether or not the party has been advised of the possibility of such damages.

Under no circumstances shall Speak Slow LLC or its affiliates, contractors, partners, or licensors be liable for any related use or any indirect, incidental, consequential, special or exemplary damages arising out or in connection with your access or use or inability to access the Service or any related content, whether or not the damages were foreseeable or whether or not Speak Slow LLC was advised of the possibility of such damages. 

The foregoing limitations will apply whether such damages arise out of breach of contract, tort (including negligence) or otherwise.

Reservation of Rights.

You acknowledge and agree that the Service is provided under license, and not sold, to you. You do not acquire any ownership interest in the Service, Website, or Software Platform under this Terms of Service or any other rights thereto other than to use the Service in accordance with this Term of Service granted, and subject to all terms, conditions, and restrictions, under this Agreement. Company reserves and shall retain its entire right, title, and interest in and to the Service and Content, including all trademarks, copyrights, and other intellectual property rights therein or relating thereto, except as expressly granted to you in this Agreement.

Updates

Company may in its sole discretion develop and provide Services updates, which may include Software upgrades, patches, bug repairs, other corrections, and/or new features (collectively, including related documentation). Updates may also delete or modify in their entirety certain features and functionality. You agree that Company has no obligation to provide any Updates or to continue to provide or enable any particular features or functionality.

Account Security

If you choose to create an account in our Platform, you also acknowledge that your account is personal to you and agree not to provide any other person with access to an Application or Website or portions of it using your credentials or other security or personal information. You agree to notify us immediately of any unauthorized access to or use of your user name or password or any other breach of security.

Survival

The sections titled “Limitation of Liability”, and “Survival”, and all of the provisions under the general heading “General Provisions” will survive any termination or expiration of the Terms of Service.

General Provisions

Email

Except as otherwise set forth herein, all notices under the Terms of Service will be by email. Notices to Speak Slow should be sent to contact@speakslow.com.

Privacy Policy

Please review our Privacy Policy for more information on how we collect and use data relating to the use and performance of our products.

Modifications

As our business evolves, we may change these Terms of Service. When we make material changes to the Agreements, we’ll provide you with prominent notice as appropriate under the circumstances, e.g.: by displaying a prominent notice within the Service or by sending you an email. In some cases, we will notify you in advance, and your continued use of the Service after the changes have been made will constitute your acceptance of the changes. Please therefore make sure you read any such notice carefully. If you do not wish to continue using the Service under the new version of the Agreements, you may request closing your account by contacting us through the email contact@speakslow.com and uninstalling any software related to the Services and all copies from all your Devices.

Waiver

No failure or delay by either party in exercising any right under the Terms of Service, will constitute a waiver of that right. No waiver under Terms of Service will be effective unless made in writing and signed by an authorized representative of the party being deemed to have granted the waiver.

Severability

The Terms of Service, will be enforced to the fullest extent permitted under applicable law. If any provision of the Terms of Service is held by a court of competent jurisdiction to be contrary to law, the provision will be modified by the court and interpreted so as best to accomplish the objectives of the original provision to the fullest extent permitted by law, and the remaining provisions of the Terms of Service will remain in effect.

Assignment

You may not assign any of your rights or delegate your obligations under these Terms of Service, whether by operation of law or otherwise, without the prior written consent of us (not to be unreasonably withheld). We may assign these Terms of Service in their entirety (including all terms and conditions incorporated herein by reference), without your consent, to a corporate affiliate or in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets.

Governing Law

The Contract, and any disputes arising out of or related hereto, will be governed exclusively by the internal laws of the State of Florida, without regard to its conflicts of laws rules or the United Nations Convention on the International Sale of Goods.

Venue; Waiver of Jury Trial; Fees

The state and federal courts located in Collier County, Florida will have exclusive jurisdiction to adjudicate any dispute arising out of or relating to this Terms of Service or their formation as a contract between us or their enforcement. Each party hereby consents and submits to the exclusive jurisdiction of such courts. Each party also hereby waives any right to jury trial in connection with any action or litigation in any way arising out of or related to the Terms of Service. In any action or proceeding to enforce rights under the Terms of Service, the prevailing party will be entitled to recover its reasonable costs and attorney’s fees.

Entire Agreement

The Terms of Service, including any terms incorporated by reference into the Terms of Service, constitute the entire agreement between you and us and supersede all prior and contemporaneous agreements, proposals or representations, written or oral, concerning its subject matter. To the extent of any conflict or inconsistency between the provisions in these Terms of Service and any pages referenced in this Terms of Service, the terms of this Agreement will first prevail.

Privacy Policy

Our privacy policy describes how we use, store, protect and collect your personal information at Speak Slow.

When we say “Speak Slow,” “we,” “our,” “Company” or “us” in this policy, we are referring to SpeakSlow LLC, the company which provides the Services. When we talk about the “Services” in this policy, we are referring to our online platform, website, mobile applications and our software.

Children’s information

Our Services are not directed for children under 18. If you find that a child under the age of 18 has provided us with personal information or used the Services, please contact us.

Information we may collect

Information submitted by users to the Services is referred to in this policy as“Customer Data”. Customer Data is controlled by our Company and we will not sell or rent you personal informationto any 3rd party companies for their marketing purposed, we take your privacy seriously. Rest assured that your data and information is for Speak Slow business purposes only.

 

Where Speak Slow collects or processes Customer Data, it is on behalf of the Customer. We may collect information related to the user account such as and no restricted to: name, last name, email, photo, and password. Further details explained below.

Speak Slow may also collect the following information:

  • Account creation information. Users provide information such as email address, name, last name, birth date, phone number, a photo, languages preferences, country of residency and password to create an account.
  • Services usage information. This is information about how you interact with the Services, which may include your communications with us.
  • Log information: Our servers may automatically record information related to how you interact with the Services. This information may include your Internet Protocol address, your browser type, plug-ins, languages preferences and settings, the date and time of your use of the Services and cookie data.
  • Billing Information. We understand this is very sensitive information. For user to add credit balance to their accounts, our third party payment processors may collect and store billing address and credit or debit card information on our behalf or we may do this ourselves. We only use methods fully PCI DSS (Payment Card Industry Data Security Standard) compliant for this sensitive task.
  • Device information. We may collect information about the type of device you are using the Services on and theirunique device identifiers.

How we use your information

We use your information to operate, provide and improve the Services. Speak Slow may use Customer Data as reasonably necessary  to (a) maintain, operate, provide and improve the Services (b) also to prevent or address  technical issues, security issues or at a Customer’s request related to customer support matters.

We may use other information in providing the Services. Specifically:

  • To improve our Services. We mayresearch and analyze trends to better understand how users are using the Services and improve them.
  • To communicate with you:If you contact us with a problem or question, we will use your information to respond.
  • Sending operational messages. We may send you administrative emails and messages for communication changes in our Services, our Services offerings, and important Services related notices, such as security notices. This communication is considered part of the Services and you may not opt-out of them unless you close your account. Please, contact us in case you want to close your account at Speak Slow.
  • Billing and account management. We use account data to manage accounts and track payments.
  • Investigating and preventing abuse of the Service. We work hard to keep the Services secure and to prevent abuse and fraud.
  • Communicating with you and marketing. We may use your contact data for sending you promotions, new features andfor our own marketing purposes. You can opt out of these at any time.

This policy is not intended to place any limits on what we do with data that is aggregated and/or de-identified so it is no longer associated with an identifiable user or Customer of the Services.

Information storage and security

Speak Slow takes security very seriously. We take reasonable steps to protect information you provide to usand reduce the risk of loss, misuse, and unauthorized access or disclosure. These steps take into account the sensitivity of the information we collect and the current state of technology.

Our operations are supported by a network of cloud based servers, and other infrastructure and information technology, including, but not limited to, the use of third-party service providers. We, and third-party service providers on our behalf, store your personal information in the United States and elsewhere in the world. If your information is transferred to other countries, including countries which may not have data protection laws that provide the same level of protection that exist in your country, we will protect the information as described in this Privacy Policy. Nevertheless communication over the internet is never 100% secure.

Information You shared to other users through the Services

It is possible for others to obtain information about you that you provide, publish or post to or through the Services (including any profile information you provide), send to other Users, or share during calls inside the Services. We are not responsible for the use of any personal information that you disclose to other Users or Contractors on the Services Platform or through the Services and we strongly recommend not sharing sensitive information. Please carefully select the type of information that you post or through the Services or release to others. We disclaim all liability, regardless of the form of action, for the acts or omissions of other Users (including unauthorized users, or “hackers”).

Compliance with Law and Safety.

The Company may disclose your information to courts, law enforcement or governmental authorities, or authorized third parties, if and to the extent we are required to do so by law or if such disclosure is reasonably necessary: (i) to comply with legal process and to respond to claims asserted against the Company, (ii) to respond to verified requests relating to a criminal investigation or alleged or suspected illegal activity or any other activity that may expose us, you, or any other of our users to legal liability, (iii) to enforce and administer our Terms of Service or other agreements, (iv) for fraud prevention, risk assessment, customer support, product development and debugging purposes, or (v) to protect the rights, property or personal safety of the Company, its employees, users, or members of the public.

Changes to this Privacy Policy

We may change this policy from time to time, and if we do we will post any changes on this page. If you continue to use the Services after those changes are in effect, you agree to the revised policy.

Non-Discrimination and Harassment Policy

 

When we say “Speak Slow,” “we,” “our,” “Company” or “us” in this policy, we are referring to SpeakSlow LLC, the company which provides the Services. When we talk about the “Services” in this policy, we are referring to our online platform, website, mobile applications and our software.

Speak Slow is committed to equal opportunity in employment, access to the Services and respect for all its users, members of the staff and the public in general. Speak Slow is seriously committed to providing a safe, flexible and respectful environment for staff and users free from all forms of discrimination, bullying and sexual harassment. All Speak Slow staff and users are required to treat others with dignity, courtesy and respect.

Discrimination

Discrimination is treating, or proposing to treat, someone unfavourably because of a personal characteristic protected by the law, such as sex, age, race or disability.

Discrimination can occur:

Directly, when a person or group is treated less favourably than another person or group in a similar situation because of a personal characteristic protected by law.

Staff rights and responsibilities

All staff are entitled to: recruitment and selection decisions based on merit and not affected by irrelevant personal characteristics, work free from discrimination, bullying and sexual harassment; the right to raise issues or to make an enquiry or complaint in a reasonable and respectful manner without being victimised; reasonable flexibility in working arrangements, especially where needed to accommodate their family responsibilities, disability, religious beliefs or culture.

All staff must: follow the standards of behaviour outlined in this policy; offer support to people who experience discrimination, bullying or sexual harassment, including providing information about how to make a complaint; avoid gossip and respect the confidentiality of complaint resolution procedures; treat everyone with dignity, courtesy and respect.

Bullying

If someone is being bullied because of a personal characteristic protected by equal opportunity law, it is a form of discrimination. Bullying can take many forms, including jokes, teasing, nicknames, emails, pictures, text messages, social isolation or ignoring people, or unfair work practices.

Bullying is unacceptable at the Company and may also be against the law.

Behaviours that may constitute bullying include:

sarcasm and other forms of demeaning language

threats, abuse or shouting

coercion

isolation

inappropriate blaming

ganging up

constant unconstructive criticism

unreasonable refusal of requests for leave, training or other workplace benefits.

Sexual harassment

Sexual harassment is a specific and serious form of harassment. It is unwelcome sexual behaviour, which could be expected to make a person feel offended, humiliated or intimidated. Sexual harassment can be physical, spoken or written. It can include:

comments about a person’s private life or the way they look

sexually suggestive behaviour, such as leering or staring

brushing up against someone, touching, fondling or hugging

sexually suggestive comments or jokes

displaying offensive screen savers, photos, calendars or objects

repeatedunwanted requests to go out

requests for sex

sexually explicit posts on social networking sites

insults or taunts of a sexual nature

intrusive questions or statements about a person’s private life

sending sexually explicit emails or text messages

inappropriate advances on social networking sites

accessing sexually explicit internet sites

behaviour that may also be considered to be an offence under criminal law, such as physical assault, indecent exposure, sexual assault, stalking or obscene communications.

All staff and Users of the Services have the same rights and responsibilities in relation to sexual harassment.

All incidents of sexual harassment – no matter how large or small or who is involved – require employers and managers to respond quickly and appropriately.

Speak Slow recognises that comments and behaviour that do not offend one person can offend another and encourages the report of inappropriate behaviour. This policy requires all Speak Slow Users to respect other people’s limits.

Victimisation

Victimisation is subjecting or threatening to subject someone to a detriment because they have asserted their rights under equal opportunity law, made a complaint, helped someone else make a complaint, or refused to do something because it would be discrimination, sexual harassment or victimisation. Victimisation is against the law.

It is also victimisation to threaten someone (such as a witness) who may be involved in investigating an equal opportunity concern or complaint.

Victimisation is a very serious breach of this policy and is likely (depending on the severity and circumstances) to result in formal discipline against the perpetrator.

Speak Slow has a zero tolerance approach to victimisation.

Resolving issues at Speak Slow

Speak Slow strongly encourages any staff member or User who believes they have been discriminated against, bullied, sexually harassed or victimised to communicate so by writing to contact@speakslow.com.

If a User of the Services post or uses language contrary to this non-discrimination policy, he will be asked to remove the language and affirm his or her understanding and intent to comply with this policy and its underlying principles. Speak Slow may also, in its discretion, take steps up to and including suspending the User from the Services.
